All such supplementary terms are hereby incorporated into these Terms by reference. In the event of any conflict between these Terms and supplementary terms, the latter shall prevail.

Qonix provides a decentralized oracle network designed to enable blockchain-based applications to securely interact with external data, computations, and APIs. The Services are intended to support developers, businesses, and individuals in leveraging blockchain technology for real-world use cases.

Any changes will be effective immediately upon posting the revised Terms on our website, with the "Last Updated" date revised accordingly. It is your responsibility to review these Terms periodically. Continued use of the Services following any changes constitutes acceptance of the updated Terms.

2. Eligibility and User Obligations

2.1 Legal Age Requirement

To access and use the Services, you must be at least 18 years old or the age of majority in your jurisdiction. By accessing or using the Services, you represent and warrant that:

  • You are of legal age to enter into a binding agreement.
  • You have not been previously suspended or removed from the Services.

2.2 Authority to Bind an Entity

If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, all references to "you" in these Terms shall include the entity.

2.3 Prohibited Jurisdictions

You may not access or use the Services if:

  • You are located in, or are a citizen or resident of, a jurisdiction where the use of blockchain technology, cryptocurrencies, or our Services is illegal.
  • You are listed on any trade or economic sanctions lists, such as the United Nations Security Council Sanctions List, or subject to restrictions under applicable export control laws.
  • You are solely responsible for ensuring that your access to and use of the Services complies with all applicable laws, rules, and regulations in your jurisdiction.

2.4 User Responsibilities

As a user of the Services, you agree to:

  • Provide accurate and complete information when creating an account or engaging in any activity on the platform.
  • Keep your account information secure and confidential.
  • Notify Qonix immediately of any unauthorized access to your account.

2.5 Prohibited Conduct

You agree not to engage in any activity that:

  • Violates any applicable laws, rules, or regulations.
  • Infringes on the rights of others, including intellectual property rights.
  • Interferes with the operation, security, or integrity of the Services.
  • Circumvents or attempts to circumvent any security measures implemented by Qonix.
  • Utilizes automated tools, bots, or scraping mechanisms to access or interact with the Services without prior authorization.

2.6 Assumption of Risk

You acknowledge and accept that interacting with blockchain technology and decentralized services involves risks, including but not limited to:

  • Loss of funds due to wallet mismanagement or security breaches.
  • Fluctuations in the value of cryptocurrencies or tokens.
  • System vulnerabilities or external attacks that may disrupt the Services.

By using the Services, you assume full responsibility for these risks and agree that Qonix shall not be liable for any losses incurred.


3. Modifications to Terms

3.1 Right to Modify

Qonix reserves the right to update, amend, or modify these Terms at its sole discretion and without prior notice to you. Such modifications may be made to reflect changes in our Services, legal requirements, or for any other reason deemed necessary by Qonix.

3.2 Notification of Changes

We will notify you of material changes to these Terms by posting the revised version on our website, along with the updated "Effective Date" and "Last Updated" date. In some cases, we may also provide additional notice, such as through email or notifications on your user dashboard.

3.3 Acceptance of Changes

By continuing to access or use the Services after any modifications to these Terms have been posted, you agree to be bound by the revised Terms. If you do not agree with the changes, you must immediately stop using the Services and, where applicable, deactivate your account.

4. Description of Services

4.1 Overview of Qonix Services

Qonix provides a decentralized oracle network that bridges the gap between blockchain ecosystems and real-world data, enabling smart contracts and decentralized applications (dApps) to access secure, tamper-proof external information. Our Services include:

  • Data Provisioning: Delivering accurate, decentralized, and tamper-proof external data to blockchain applications.
  • Token Integration: Facilitating the use of the QNX token within the ecosystem for staking, governance, and transaction fees.
  • Cross-Chain Compatibility: Supporting seamless interoperability across multiple blockchain networks.
  • Advanced Computation: Offering off-chain computation capabilities for complex data processing and real-time analytics.

4.2 Scope of Services

Qonix aims to provide a secure and scalable solution for integrating off-chain data with on-chain operations. The Services are designed to empower developers, businesses, and individuals in leveraging blockchain technology for diverse applications, including finance, gaming, supply chain, and IoT.

4.3 No Guarantee of Availability

Qonix does not guarantee uninterrupted access to its Services. The availability of features may be subject to maintenance, upgrades, technical issues, or external factors beyond our control. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice or liability.

4.4 Beta Features

Certain features of the Services may be offered in a beta or testing phase. Such features are provided "as is" without warranties of any kind and may be subject to additional terms and conditions.

4.5 Third-Party Integrations

The Services may include integrations with third-party tools, platforms, or services. Qonix is not responsible for the availability, reliability, or security of these third-party integrations. Your use of such integrations is subject to the terms and conditions of the respective third-party providers.

4.6 Prohibited Uses

The Services may not be used for any illegal, unethical, or unauthorized purposes. Examples of prohibited uses include:

  • Deploying malicious or fraudulent smart contracts.
  • Using the Services to violate intellectual property rights.
  • Engaging in money laundering, financing of terrorism, or other illegal activities.

4.7 Limitations

While Qonix strives to provide accurate and reliable Services, the following limitations apply:

  • Data Accuracy: Qonix aggregates data from multiple sources, but does not guarantee the accuracy or completeness of any data delivered through the Services.
  • No Fiduciary Duty: Qonix does not act as your fiduciary or advisor. It is your responsibility to evaluate the suitability of our Services for your needs.

4.8 Assumption of Risk

You acknowledge that the use of blockchain technology and decentralized networks carries inherent risks, including:

  • Potential loss of funds or digital assets.
  • Security vulnerabilities in blockchain protocols or smart contracts.
  • Fluctuations in the value of digital assets, including QNX tokens.

By using the Services, you assume full responsibility for these risks and agree that Qonix shall not be held liable for any resulting losses or damages.


5. User Accounts

5.1 Account Creation

To access certain features of the Services, you may be required to create a user account ("Account"). By creating an Account, you agree to:

  • Provide accurate, complete, and up-to-date information during registration.
  • Maintain and promptly update your account information as necessary to ensure its accuracy and completeness.
  • Create only one Account per individual or entity, unless explicitly authorized by Qonix.

5.2 Account Credentials

You are responsible for maintaining the confidentiality and security of your Account credentials, including your username, password, and any private keys associated with the Services. You agree to:

  • Not share your credentials with any third party.
  • Use strong, unique passwords and regularly update them.
  • Immediately notify Qonix of any unauthorized access or suspected breach of your Account.

Qonix is not responsible for any losses or damages resulting from unauthorized access to your Account due to your failure to maintain security.

5.3 Account Suspension and Termination

Qonix reserves the right to suspend, restrict, or terminate your Account at any time and for any reason, including but not limited to:

  • Violation of these Terms or applicable laws.
  • Providing false or misleading information during registration.
  • Engaging in fraudulent or prohibited activities.
  • Inactivity for a prolonged period, as determined by Qonix.

If your Account is terminated, you may lose access to any data or tokens associated with your Account. Qonix shall not be liable for any loss arising from such termination.

5.4 Use of Wallets

Certain features of the Services may require the use of a cryptocurrency wallet. By connecting your wallet to the Services, you acknowledge and agree that:

  • You are solely responsible for securing and managing your wallet, including its private keys.
  • Qonix does not have access to, or control over, your wallet or private keys and cannot recover lost or stolen credentials.
  • Any transactions initiated through your wallet are irreversible and final.

5.5 Prohibited Activities

You agree that you will not use your Account to:

  • Impersonate another person or entity.
  • Engage in activities that violate any applicable laws or regulations.
  • Use or deploy bots, scripts, or automated systems to access or interact with the Services.
  • Attempt to gain unauthorized access to other Accounts or systems.

5.6 Account Recovery

In the event you lose access to your Account, Qonix may provide recovery options at its sole discretion. Such recovery options may require verification of your identity and compliance with additional terms and conditions.

5.7 Transfer of Accounts

Your Account is personal to you and may not be sold, transferred, or assigned to any other person or entity without prior written consent from Qonix.

5.8 Liability for Account Activity

You are fully responsible for all activities conducted through your Account, including any unauthorized transactions or actions taken by third parties. Qonix shall not be held liable for any loss or damage arising from unauthorized use of your Account.


6. Acceptable Use Policy

6.1 Permissible Activities

You may use the Services only for lawful purposes and in compliance with these Terms. Permissible activities include:

  • Accessing the Services for personal, business, or organizational purposes as intended by Qonix.
  • Using the Services to develop, deploy, or operate decentralized applications (dApps) or smart contracts.
  • Engaging in staking, governance, or token-related activities in accordance with platform guidelines.
  • Interfacing with the Services using authorized tools, wallets, or APIs.

6.2 Prohibited Activities

You agree not to engage in any activity that:

  • Violates laws or regulations, including but not limited to money laundering, financing terrorism, or fraud.
  • Infringes on intellectual property rights or distributes unauthorized content.
  • Compromises the security, availability, or integrity of the Services, such as through hacking, malware distribution, or denial-of-service attacks.
  • Utilizes bots, scrapers, or automated systems to access or interact with the Services without explicit authorization.
  • Engages in harassment, abuse, or harm to other users or Qonix personnel.

6.3 Monitoring and Enforcement

Qonix reserves the right to:

  • Monitor your use of the Services to ensure compliance with these Terms.
  • Investigate any suspected violations of this Acceptable Use Policy.
  • Suspend or terminate your access to the Services for any violation of these Terms.
  • Report unlawful activities to appropriate authorities.

7. Intellectual Property

7.1 Ownership of Content

All content, software, designs, trademarks, service marks, logos, and other materials made available through the Services (collectively, "Content") are the property of Qonix or its licensors. You may not copy, reproduce, modify, distribute, or use any part of the Content without prior written authorization from Qonix.

7.2 User Content

By submitting, uploading, or transmitting any content through the Services, you grant Qonix a non-exclusive, worldwide, royalty-free, perpetual license to use, display, and modify such content for the purpose of operating and improving the Services.

7.3 Prohibited Uses

You may not:

  • Infringe upon the intellectual property rights of Qonix or third parties.
  • Use Qonix trademarks or branding without explicit written consent.

8. Privacy and Data Protection

Qonix respects your privacy and is committed to protecting your personal data. Our collection and use of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.


9. Token Usage and Financial Terms

9.1 Nature of QNX Tokens

The QNX token is a utility token designed for activities within the Qonix ecosystem. It does not represent equity, ownership, or financial security in Qonix.

9.2 Transactions and Fees

All transactions involving QNX tokens, including purchases, staking, and governance participation, are final and non-refundable. Qonix reserves the right to introduce or modify fees associated with the Services at any time.

9.3 Assumption of Risk

By using QNX tokens, you acknowledge and accept risks associated with digital assets, including but not limited to:

  • Fluctuations in the value of QNX tokens and other cryptocurrencies.
  • Security vulnerabilities in blockchain protocols or smart contracts.
  • Potential loss of tokens due to wallet mismanagement or unauthorized access.

Qonix shall not be liable for any financial losses or damages arising from your use of QNX tokens or participation in the ecosystem.


10. Limitation of Liability

To the fullest extent permitted by law, Qonix shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Services, even if Qonix has been advised of the possibility of such damages.

In no event shall Qonix's aggregate liability for all claims relating to the Services exceed the amount you paid, if any, for accessing or using the Services.


11. Indemnification

You agree to indemnify, defend, and hold harmless Qonix, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of the Services.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights.
  • Your misuse of QNX tokens or other features of the Services.

12. Termination

12.1 Termination by Qonix

Qonix reserves the right to suspend or terminate your access to the Services at any time, with or without cause, including but not limited to:

  • Violation of these Terms.
  • Engaging in fraudulent or illegal activities.
  • Failure to comply with applicable laws and regulations.

12.2 Termination by User

You may terminate your use of the Services at any time by ceasing all access and use of the platform and, where applicable, deactivating your account. Termination does not relieve you of any obligations or liabilities incurred prior to termination.

Upon termination, all rights and licenses granted to you under these Terms shall immediately cease.


13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Vermont, USA, without regard to its conflict of law principles.

13.2 Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms, you agree to first attempt to resolve the dispute amicably by contacting Qonix at support@qonix.io.

If the dispute cannot be resolved through informal negotiation within thirty (30) days, it shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in Rutland, Vermont, in the English language.

The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. Each party shall bear its own costs and expenses related to the arbitration.

13.3 Exceptions

Notwithstanding the foregoing, Qonix reserves the right to seek injunctive relief or other equitable remedies in a court of competent jurisdiction to prevent or stop unauthorized use of the Services or infringement of intellectual property rights.


14. Miscellaneous Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and Qonix regarding your use of the Services and supersede all prior agreements and understandings, whether written or oral, relating to such subject matter.

14.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, the remaining provisions shall remain in full force and effect.

14.3 No Waiver

No waiver of any provision or right under these Terms shall be effective unless in writing and signed by an authorized representative of Qonix. A failure to enforce any right or provision shall not be deemed a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without the prior written consent of Qonix. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. Qonix may freely assign or transfer these Terms without restriction.

14.5 Force Majeure

Qonix shall not be held liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, war, terrorism, governmental actions, or failure of internet services.
